{"id":1752,"date":"2026-02-17T17:39:34","date_gmt":"2026-02-17T22:39:34","guid":{"rendered":"https:\/\/markaitek.com\/general-terms-and-conditions-of-service\/"},"modified":"2026-03-23T08:25:10","modified_gmt":"2026-03-23T13:25:10","slug":"general-terms-and-conditions-of-service","status":"publish","type":"page","link":"https:\/\/markaitek.com\/en\/general-terms-and-conditions-of-service\/","title":{"rendered":"General terms and conditions of service"},"content":{"rendered":"<h2>GENERAL CONDITIONS OF SERVICE (MSA) &#8211; Markaitek<\/h2>\n<p><strong>Last update: February 18, 2026<\/strong><\/p>\n<p>These Terms and Conditions of Service (the &#8220;Terms&#8221;) constitute a contract between <strong>9451-1839 Quebec Inc.<\/strong> doing business as <strong>Markaitek<\/strong> (&#8220;Markaitek&#8221;), having its place of business at <strong>134 rue de l&#8217;Hermitage, Magog, Quebec, Canada<\/strong>, and any customer (&#8220;Customer&#8221;).<\/p>\n<p>They apply to digital marketing, automation and AI professional services provided by Markaitek in Canada, the United States and Europe.<\/p>\n<p>Acceptance of a proposal, statement of work (SOW), quotation, purchase order, or use of the Services constitutes acceptance of these Terms.<\/p>\n<h3>1. Definitions<\/h3>\n<p>1.1 &#8220;Agreement&#8221; means these Terms and Conditions, together with any applicable SOW\/proposal and appendices.<br \/>1.2 &#8220;SOW&#8221;: commercial document (proposal, quotation, purchase order, statement of work) specifying scope, deliverables, schedule, costs, budgets and specific terms and conditions.<br \/>1.3 &#8220;Services&#8221;: services provided by Markaitek in accordance with the SOW.<br \/>1.4 &#8220;Deliverables&#8221;: elements delivered to the Customer as part of the Services.<br \/>1.5 &#8220;Customer Data&#8221;: data, content, files, access and information provided by the Customer.<br \/>1.6 &#8220;Sensitive data&#8221;: categories referred to in article 12.<br \/>1.7 &#8220;Business Day&#8221;: Monday to Friday, 9:00 a.m. to 5:00 p.m. EST, excluding statutory holidays applicable in Quebec.<\/p>\n<h3>2. Scope and order of priority<\/h3>\n<p>2.1 These Conditions are general and apply to all mandates, unless otherwise agreed in writing.<br \/>2.2 In the event of conflict, priority is given to:<br \/>a) these Conditions;<br \/>b) SOW;<br \/>c) technical\/operational appendices.<br \/>2.3 Advertising budgets, media caps and allocations are defined solely in the SOW.<\/p>\n<h3>3. Services, changes and dependencies<\/h3>\n<p>3.1 Markaitek provides Services in accordance with customary professional standards.<br \/>3.2 Any out-of-scope requests are subject to a written change order (fee\/time adjustment).<br \/>3.3 Customer must provide required access, content, approvals and resources.<br \/>3.4 Customer approval time: <strong>7 days<\/strong>.<br \/>3.5 Customer minimum technical dependencies: provided\/confirmed within <strong>7 days<\/strong>.<br \/>3.6 Failing this, deadlines are extended accordingly, without responsibility on Markaitek&#8217;s part.<\/p>\n<h3>4. Prices, taxes, billing and payment<\/h3>\n<p>4.1 The fees are those indicated in the SOW, plus applicable taxes.<br \/>4.2 Payment terms: <strong>15 days<\/strong> from date of invoice.<br \/>4.3 Interest on arrears: <strong>20% per annum<\/strong>, calculated daily on overdue amounts.<br \/>4.4 Payment by card: <strong>3%<\/strong> surcharge (where permitted by applicable laws).<br \/>4.5 Pre-authorized payment (if applicable): In the event of a failed debit, a fee of <strong>CAD 100<\/strong> will apply.<br \/>4.6 Price adjustment on renewal: <strong>30 days&#8217;<\/strong> written notice.<br \/>4.7 Out-of-scope \/ transfer \/ ad hoc requests hourly rates:<br \/>a) Expert: <strong>175 CAD\/hour<\/strong>;<br \/>b) Senior management: <strong>250 CAD\/hour<\/strong>.<br \/>4.8 Platforms, third-party licenses and media can be invoiced separately according to the SOW.<\/p>\n<h3>5. Duration, renewal and termination of the Contract<\/h3>\n<p>5.1 Standard initial term: <strong>12 months<\/strong>, unless otherwise specified in the SOW.<br \/>5.2 Automatic renewal: successive <strong>12-month<\/strong> periods, unless notice of non-renewal is given at least <strong>30 days<\/strong> prior to expiry.<br \/>5.3 Termination for default: either party may terminate in the event of an uncorrected default within <strong>30 days<\/strong> of detailed written notice.<br \/>5.4 Termination for convenience by Customer: <strong>30 days<\/strong>&#8216; written notice. Customer pays:<br \/>a) amounts due;<br \/>b) non-cancellable third-party commitments;<br \/>c) <strong>50%<\/strong> of <strong>the residual value<\/strong> of the current term.<br \/>5.5 Application of art. 2125 C.c.Q. no global waiver. The parties agree that the amounts in article 5.4 reflect the foreseeable costs, commitments and losses associated with early termination.<br \/>5.6 No lump-sum transition\/ramp-down fees are provided for; transition work is invoiced on a time basis in accordance with article 4.7.   <\/p>\n<h3>6. Suspension of Services<\/h3>\n<p>6.1 Markaitek may suspend all or part of the Services in the event of non-payment, lack of access, security risk, or material breach of the Agreement.<br \/>6.2 Except in emergencies, reasonable prior notice shall be given.<br \/>6.3 Suspension does not extinguish payment obligations.<\/p>\n<h3>7. Customer&#8217;s obligations<\/h3>\n<p>7.1 The Customer guarantees the lawfulness of its activities, content, offers and commercial claims.<br \/>7.2 The Customer remains responsible for the accounts, identifiers and administrator access it provides.<br \/>7.3 The Customer obtains the necessary consents and authorizations for its data, campaigns and communications.<br \/>7.4 The Customer is responsible for the instructions, validations and content it provides.<\/p>\n<h3>8. Paid advertising and platforms<\/h3>\n<p>8.1 Unless otherwise agreed, advertising accounts (Google, Meta, LinkedIn, etc.) belong to the <strong>Customer<\/strong>.<br \/>8.2 The Customer provides the required administrator access; it is responsible for the governance of its accounts.<br \/>8.3 Markaitek may refuse or suspend a campaign that does not comply with platform policies or applicable laws.<br \/>8.4 End of mandate handoff process: written request at least <strong>30 days<\/strong> before the end of the mandate.<br \/>8.5 Transfer\/export activities are invoiced according to article 4.7.<\/p>\n<h3>9. Privacy<\/h3>\n<p>9.1 Each party shall protect the other&#8217;s confidential information with a level of care that is reasonable and at least equivalent to that applied to its own sensitive information.<br \/>9.2 Use limited to the performance of the Contract.<br \/>9.3 Usual exceptions: public information without fault, information already known, information legitimately received from a third party, disclosure required by law\/order of competent authority.<br \/>9.4 Duration: confidentiality obligations survive for <strong>2 years<\/strong> after the end of the Contract.<\/p>\n<h3>10. Intellectual property<\/h3>\n<p>10.1 Each party retains its pre-existing rights (methods, tools, models, trademarks, prior content).<br \/>10.2 Subject to payment in full, Markaitek grants the Customer a license to use the Deliverables delivered, for its internal\/commercial activities provided for in the SOW.<br \/>10.3 Unless expressly stipulated in the SOW, Markaitek&#8217;s tools, templates, scripts, frameworks, methodologies and know-how remain its property.<br \/>10.4 Third-party elements (software, APIs, plugins, platforms) remain subject to their respective licenses.<br \/>10.5 The Customer remains the owner of its Customer Data.<\/p>\n<h3>11. Personal data and privacy<\/h3>\n<p>11.1 The parties comply with all applicable privacy laws.<br \/>11.2 Hybrid model: each party acts as data controller for its own purposes; Markaitek acts as supplier\/contractor when processing data on behalf of the Customer according to documented instructions.<br \/>11.3 A DPA (Data Processing Annex) applies when required.<br \/>11.4 Markaitek Privacy Policy: https: <a href=\"https:\/\/markaitek.com\/en\/privacy-policy-markaitek\/\">\/\/markaitek.com\/politique-de-confidentialite\/.<\/a><\/p>\n<h3>12. Sensitive data (usage rules)<\/h3>\n<p>12.1 Prohibited without prior written consent: health data, biometric data, data of minors, identity documents, complete financial data, government numbers, passwords in clear text, highly sensitive secrets.<br \/>12.2 Conditionally authorized: B2B\/B2C contact data strictly necessary for campaigns\/operations, with legal basis and mentions\/agreements provided by the Customer.<br \/>12.3 The Customer guarantees to have the authority and legal basis to transmit Customer Data to Markaitek.<\/p>\n<h3>13. AI and automated tools<\/h3>\n<p>13.1 Markaitek may use AI\/automation tools to perform the Services.<br \/>13.2 AI outputs may require human validation; they do not constitute legal, tax or regulatory advice.<br \/>13.3 Unless agreed in writing, Customer shall not submit Sensitive Data to external AI tools.<br \/>13.4 Confidentiality and security obligations remain applicable.<\/p>\n<h3>14. Limited warranties<\/h3>\n<p>14.1 Markaitek provides the Services in a professional and diligent manner.<br \/>14.2 Unless expressly stated, Markaitek does not guarantee any business result, sales volume\/leads, specific positioning, or uninterrupted continuity of third party platforms.<\/p>\n<h3>15. Limitation of liability<\/h3>\n<p>15.1 Markaitek shall not be liable for any indirect, special, punitive or consequential damages, including loss of profits, revenue, opportunity, goodwill, data or goodwill.<br \/>15.2 Markaitek shall not be liable for any financial loss arising from the Services, to the extent permitted by applicable law.<br \/>15.3 Subject to any limitations imposed by applicable law, Markaitek&#8217;s total cumulative liability for any claim under the Agreement shall be limited to the total fees paid by the Customer to Markaitek in the 12 months prior to the event (or since the commencement of the engagement if the period is less than 12 months).<br \/>15.4 The limitations of this article do not limit the Customer&#8217;s payment obligations.<\/p>\n<h3>16. Compensation (mutual, balanced)<\/h3>\n<p>16.1 The Customer indemnifies Markaitek against third party claims arising from:<br \/>a) content\/instructions\/claims provided by the Customer;<br \/>b) infringement of third party rights related to assets provided by the Customer;<br \/>c) legal non-compliance of the Customer&#8217;s activities.<br \/>16.2 Markaitek shall indemnify the Customer against claims by third parties arising from:<br \/>a) Markaitek&#8217;s culpable breach of contract;<br \/>b) Markaitek&#8217;s gross negligence or wilful misconduct;<br \/>c) infringement of a third party&#8217;s intellectual property caused by an original Markaitek deliverable, subject to the usual exclusions (Customer&#8217;s instructions or assets, unauthorized modifications, out-of-scope use).<br \/>16.3 The indemnified party shall promptly notify, reasonably cooperate and leave the conduct of the defense\/settlement to the indemnifying party, subject to its rights.<\/p>\n<h3>17. Non-solicitation<\/h3>\n<p>17.1 The Customer agrees not to directly solicit or hire Markaitek&#8217;s key employees\/contractors who have worked on its mandate, during the mandate and for <strong>12 months<\/strong> after its end, on the <strong>Canadian and American<\/strong> markets, except with Markaitek&#8217;s written consent.<\/p>\n<h3>18. Force majeure<\/h3>\n<p>18.1 Neither party shall be liable for any delay\/ non-performance caused by any event beyond reasonable control (e.g., major breakdown, disaster, labor dispute, interruption of essential third party services, government act, catastrophe).<\/p>\n<h3>19. Applicable law, jurisdiction and notice<\/h3>\n<p>19.1 Applicable law: laws of Quebec and federal laws of Canada applicable.<br \/>19.2 Competent court: <strong>Montreal (Quebec), Canada<\/strong>.<br \/>19.3 Legal notices: in writing to <a href=\"mailto:legal@markaitek.com\">legal@markaitek.com<\/a> (and to any other address indicated in the SOW for the Customer).<\/p>\n<h3>20. General provisions<\/h3>\n<p>20.1 Entirety: the Agreement constitutes the entire agreement.<br \/>20.2 Modifications: any modification must be in writing.<br \/>20.3 Assignment: the Customer may not assign without Markaitek&#8217;s written consent.<br \/>20.4 Severability: partial nullity without affecting the remainder.<br \/>20.5 Survival: clauses on payment, confidentiality, IP, liability, indemnification, applicable law survive termination of the Contract.<br \/>20.6 Linguistic priority: in the event of any discrepancy between versions, the <strong>French<\/strong> version shall prevail.<br \/>20.7 Imperative rights: if the Customer is a consumer, the non-waivable rights provided by applicable laws shall prevail.<\/p>\n<h3>Appendix A &#8211; Service Level Agreements (SLAs)<\/h3>\n<p>A.1 Service window: <strong>9:00 a.m. to 5:00 p.m. EST, Monday to Friday, excluding public holidays<\/strong>.<br \/>A.2 Target time to first service:<br \/>&#8211; <strong>Tier 1<\/strong>: 24 working hours<br \/>&#8211; <strong>Tier 2<\/strong>: 48 working hours<br \/>&#8211; <strong>Tier 3<\/strong>: 72 working hours<br \/>A.3 Tickets are classified according to the operational severity described in the SOW or, failing that, according to Markaitek&#8217;s reasonable assessment.   <\/p>\n","protected":false},"excerpt":{"rendered":"<p>GENERAL CONDITIONS OF SERVICE (MSA) &#8211; Markaitek Last update: February 18, 2026 These Terms and Conditions of Service (the &#8220;Terms&#8221;) constitute a contract between 9451-1839 Quebec Inc. doing business as Markaitek (&#8220;Markaitek&#8221;), having its place of business at 134 rue de l&#8217;Hermitage, Magog, Quebec, Canada, and any customer (&#8220;Customer&#8221;).
